Article 1. Definitions

The terms below shall have the following meanings for the parties:

  • Client: Any natural or legal person, acting professionally or as a consumer, who subscribes to one or more services offered by ADHCI.
  • Contract: The contractual set composed of these general terms and conditions, the client's order, and any other related document.
  • Client Data: All information, texts, images, sounds, videos, and other content hosted, stored, or transmitted by the client in the course of using the services.
  • Services: All services provided by ADHCI, including domain name registration, web hosting, email services, cloud solutions (Nextcloud, Proxmox VE), and IT services.
  • Website: The website accessible at https://www.adhci.com.

Article 2. Purpose and scope

These general terms and conditions define the legal, technical, and financial conditions under which ADHCI provides its services to clients. They apply, without restriction or reservation, to all services subscribed to by the client. Subscribing to a Service constitutes full and unconditional acceptance of these terms and conditions. To use the website, the client must also consult the Privacy Policy.

Article 3. Ordering and subscription

Services may be subscribed to online via the Website or by accepting a quote issued by ADHCI. The client agrees to provide accurate, complete, and up-to-date information. Validation of the order by the client, through the “double-click” procedure (or signature of the quote), constitutes an electronic signature and an irrevocable acceptance of the contract.

ADHCI reserves the right to refuse any order from a client with whom there is an ongoing dispute regarding payment for a previous order.

Article 4. Pricing and payment

Service prices are indicated in euros excluding taxes (excl. VAT) on the Website. The applicable VAT is that in force on the invoicing date. ADHCI reserves the right to modify its prices at any time, subject to prior reasonable notice to the client. New prices will apply to service renewals.

Payment is made in advance (in arrears), monthly or annually, using the payment methods offered on the Website. Any late payment shall automatically result in the application of late penalties and may lead to suspension or termination of services, without prejudice to any other recourse.

Article 5. Right of withdrawal

The right of withdrawal is governed by the Consumer Code and applies only to natural persons acting as consumers.

5.1. Professional clients

In accordance with applicable regulations, the right of withdrawal does not apply to distance contracts entered into with clients acting within the scope of their commercial, industrial, craft, liberal, or agricultural activity.

5.2. Consumer clients

The consumer client has a period of fourteen (14) days to exercise their right of withdrawal without having to justify their decision. This period begins on the date of conclusion of the contract for service provision.

Exceptions to the right of withdrawal:
In accordance with Article L. 221-28 of the Consumer Code, the right of withdrawal does not apply to contracts:
  • For the provision of services fully executed before the end of the withdrawal period and whose execution began after the consumer's prior express agreement and express waiver of their right of withdrawal. By subscribing to a hosting or email service, the client requests immediate execution and expressly waives their right of withdrawal if the service is fully operational.
  • For the supply of goods made to the consumer's specifications or clearly personalized. This explicitly includes the registration and renewal of domain names, which are customized and non-refundable orders.

To exercise their right of withdrawal where applicable, the client must notify ADHCI of their decision by means of an unambiguous statement (e.g. letter sent by post or email).

Article 6. Client obligations and responsibilities

The client is solely responsible for the content they host, the information they transmit, and their use of the services. They agree to comply with applicable French and international laws.

6.1. Proper use of services

The client agrees to use the services in a responsible and prudent manner. It is their responsibility to ensure the security of their accounts, passwords, and systems.

6.2. Prohibited uses and abuse

It is strictly forbidden for the client to use the services for activities deemed illegal, abusive, or harmful to ADHCI’s operations, reputation, or infrastructure, or to other clients, at ADHCI’s sole discretion. This includes, but is not limited to:

  • Distribution of content that violates applicable laws, public order, or moral standards.
  • Infringement of third-party intellectual property rights.
  • Sending unsolicited emails (spam) or phishing attempts.
  • Any form of cyberattack or intrusion attempt targeting ADHCI’s or third-party infrastructure.
  • Use of server resources in a way that significantly degrades performance for other clients (e.g. crypto-mining, open proxy).

ADHCI reserves the right to immediately suspend the client's services without notice in the event of such violations. The contract may be terminated by operation of law, with no refund of amounts already paid.

Article 7. ADHCI obligations and responsibilities

ADHCI commits to providing its services with due care and diligence, in accordance with industry standards. This constitutes a best-efforts obligation.

7.1. Warranty exclusions

Unless expressly stated otherwise, services are provided "as is" and "as available", with no warranty of performance, continuous availability, or fitness for a particular purpose. ADHCI does not guarantee that services will be error- or interruption-free.

7.2. Limitation of liability

ADHCI shall not be held liable in the following cases:

  • Fault, negligence, or breach of obligations by the client.
  • Improper use of services by the client.
  • Loss or alteration of client data, for which the client is responsible, unless a backup service has been explicitly subscribed to.
  • Scheduled maintenance interruptions, of which the client will be informed in advance.
  • Failure or malfunction of external telecommunications or power networks.
  • Force majeure as defined in Article 12.

In any event, ADHCI’s liability, if incurred, shall be limited to the equivalent of one (1) month of the pre-tax subscription fee for the service in question.

Article 8. Technical support

Service levels and access to technical support (channels, response times) depend on the support offer subscribed to by the client, as detailed on the Website and in commercial documents. Unless otherwise stated, standard support is available on business days via the client portal.

Article 9. Subcontracting

ADHCI reserves the right to use subcontractors for all or part of the services. ADHCI undertakes to carefully select its providers.

For critical services such as data center hosting and backup outsourcing, ADHCI uses providers located exclusively within the European Union.

For certain ancillary services (e.g. billing solutions or payment gateways), ADHCI may use providers located outside the European Union. In such cases, ADHCI ensures that data transfers are protected by GDPR-compliant mechanisms.

Article 10. Intellectual property

The client remains the sole owner of the client data. ADHCI holds no rights over such data, other than those necessary to perform the services.

All elements of the Website (logo, brand, text, structure) are the exclusive property of ADHCI and are protected by intellectual property laws. Any reproduction is prohibited.

Article 11. Force majeure

Neither party shall be held liable for the non-performance of its obligations due to an event of force majeure as defined in Article 1218 of the French Civil Code. Events considered force majeure include unforeseeable, irresistible, and external events such as natural disasters, wars, terrorism, national strikes, or large-scale telecommunications failures.

Article 12. Termination and data management

The client may terminate their contract at any time via their client area. Termination takes effect at the end of the current commitment period (monthly or annual). No refund will be issued for the remaining period.

ADHCI may terminate the contract automatically in case of serious breach by the client, particularly in the event of non-payment or violation of Article 6, following a formal notice that remains unheeded, or immediately without notice in case of extreme severity.

Upon effective termination of the contract, for any reason, client data will be deleted from our servers within thirty (30) days. It is the client’s responsibility to retrieve their data before this deadline. Upon express request made before the contract ends, ADHCI may offer a data restitution service.

Article 13. Updates and modifications

13.1. Service changes

ADHCI reserves the right to modify, update, or discontinue all or part of the services, particularly for technical, security, or market evolution reasons. ADHCI will make reasonable efforts to inform the client in advance and offer alternatives if necessary.

13.2. Changes to the terms and conditions

ADHCI reserves the right to modify these terms and conditions at any time. The new conditions will be notified to the client and will apply to ongoing contracts. The client may reject the changes and terminate their contract. Continued use of the services after the effective date of the new terms shall constitute acceptance thereof.

Article 14. Notifications

All contract-related notifications (invoices, maintenance notices, contractual changes, etc.) will be validly sent by ADHCI to the contact email address provided by the client. The client is responsible for keeping this address up to date.

Article 15. Ethics and compliance

The client and ADHCI undertake to comply with all applicable laws and regulations, including those relating to anti-corruption and fair commercial practices.

Article 16. Miscellaneous

16.1. No waiver

The fact that ADHCI does not assert a provision at a given time shall not be considered a waiver of its right to assert that provision later.

16.2. Severability

If one or more provisions of this contract are held invalid or declared as such under any law, regulation, or final court decision, the remaining provisions shall remain fully valid and enforceable.

Article 17. Governing law and jurisdiction

This contract is governed by French law. In case of dispute, and after an attempt at amicable resolution, exclusive jurisdiction is given to the competent courts of Paris, notwithstanding multiple defendants or third-party proceedings.
